Management: reports to board of directors (BOD). BODresponsible for overseeing owners, the shareholders, interest. Management's ultimateresponsibility - increase shareholder value (i.e. increase share price). Management'sarrogance - can lose sight of role. Quarter-to-quarter profit pressures and greed (e.g.bonuses tied to profit performance) can sometimes cause management to make/createshort term actions that boost share price but border on questionable judgment or fraud.
