Because BP and Transocean was in an agreement, Transocean was not able to distance themselves from the liability and responsibility for the rig malfunction which cause an oil spill in the Gulf of Mexico. Both parties are both responsible and liable for the clean and cost of damages to people and business. Transocean would be held liable because the provisions of the agreement between BP and Transocean signed.
